Introduction

Welcome to VoCap ("we", "our", or "VoCap"). These Terms of Service ("Terms") govern your access to and use of the VoCap website, desktop application ("VoCap" or "the App"), and all related services. By using our services, you agree to these Terms.

Description of Service

VoCap provides a local-first desktop application for:

  • Meeting transcription: Real-time speech-to-text conversion using on-device AI models
  • AI-powered summaries: Generating meeting summaries using either local or cloud-based large language models (LLMs)
  • Audio capture: Recording microphone input and system audio for transcription purposes

The App is designed with a local-first architecture. Audio recording, speech recognition, and local AI processing happen entirely on your device.

Account and License

1. Purchase

VoCap is offered as a one-time purchase. Upon payment, you receive a license to use the App on your personal devices. Account creation on our website may be required to manage your purchase and access downloads.

2. Account Responsibility

You are responsible for maintaining the security of your account credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access.

Acceptable Use

You agree to use the App and our services lawfully and responsibly. You must not:

  • Record conversations without the consent of all participants, where required by applicable law
  • Use the App to violate any laws, regulations, or the rights of others
  • Reverse engineer, decompile, or disassemble the App beyond what is permitted by law
  • Redistribute, sublicense, or resell the App or any AI models bundled with it
  • Attempt to circumvent any license verification or access controls

Recording and Consent

Important: Many jurisdictions have laws governing the recording of conversations. It is your responsibility to:

  • Understand and comply with all applicable recording consent laws in your jurisdiction
  • Obtain necessary consent from all meeting participants before recording
  • Inform participants that the meeting is being transcribed

VoCap is not responsible for any legal consequences arising from your use of the recording and transcription features.

Data and Privacy

Your use of the App is also governed by our Privacy Policy. Key points:

  • Audio data and transcriptions are processed and stored locally on your device
  • When using cloud AI summary features, transcript text is sent to third-party LLM providers for processing
  • You can use local LLM processing to keep all data on your device
  • You are responsible for backing up your local data; we cannot recover locally stored files

Third-Party AI Services

When you use cloud-based AI summary features, your transcript data is processed by third-party LLM providers through our API proxy. These providers have their own terms of service and privacy policies. We are not responsible for how third-party providers process data once it is transmitted to them.

Payment Terms

1. Pricing

The App is offered as a one-time purchase. Pricing is listed on our website. We reserve the right to change pricing for future purchases, but your existing license will not be affected.

2. Payment Processing

Payments are processed securely through Stripe. You agree to provide accurate payment information and authorize the charge.

3. Refunds

Please refer to our Refund Policy for details on our refund process. Generally, refund requests should be made within 14 days of purchase.

Intellectual Property

1. Our Property

The App, website, and all associated content (code, designs, logos, documentation) are owned by VoCap and protected by intellectual property laws. Your purchase grants a license to use the App, not ownership of the software.

2. Your Content

You retain full ownership of all recordings, transcriptions, and summaries generated by the App. We claim no rights over your content.

3. Open Source Components

The App uses open-source AI models (such as sherpa-onnx, Silero VAD, and various STT models) which are subject to their respective licenses. Your use of these components is governed by those licenses.

Disclaimers

1. "As Is" Service

The App and services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that transcriptions will be 100% accurate or that AI summaries will be error-free.

2. Transcription Accuracy

Transcription accuracy depends on many factors including audio quality, speaker clarity, background noise, and language. The App should not be relied upon as the sole record of important meetings or legal proceedings.

Limitation of Liability

To the maximum extent permitted by law, VoCap will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App or services, including but not limited to:

  • Loss of data or recordings
  • Inaccurate transcriptions or summaries
  • Legal consequences from recording without proper consent
  • Service interruptions or unavailability

Updates and Changes

We may update the App, these Terms, or our services from time to time. Continued use after changes constitutes acceptance of the modified Terms. We will notify you of significant changes via the website or the App.
